Commercial Terms of Service & Supply Conditions

Scope of Commercial Agreement & Operator Eligibility

These Commercial Terms of Service apply to all sales quotes, purchase orders, bespoke manufacturing contracts, and maintenance agreements entered into between Grand Casino Gear UK Ltd ('the Manufacturer') and corporate entities or individuals ('the Client'). The Client warrants that it holds, or is in the formal process of acquiring, all required gaming operating licences, certificates of consent, or regulatory permissions mandated by the UK Gambling Commission or equivalent national gambling supervisory bodies in the destination jurisdiction.

Quotations, Architectural CAD Sign-Off & Contract Formation

Commercial quotations issued by Grand Casino Gear remain valid for forty-five (45) calendar days from the date of transmission unless revoked in writing earlier. A binding contract is formed only when: (a) the Client signs and returns the formal Order Specification Sheet; (b) the Client issues formal written approval of the architectural CAD production drawings; and (c) the Manufacturer receives the initial production deposit in cleared funds into its London corporate bank account.

Pricing Currency (GBP £), Taxes & Value Added Tax

All prices quoted on our website, in printed catalogues, and within formal proposals are denominated in Pounds Sterling (GBP, £) and are exclusive of Value Added Tax (VAT), customs tariffs, import levies, and specialized destination crane or rigging costs, which shall be charged additionally where applicable. For UK licensed operators, VAT at the prevailing statutory rate (currently 20%) will be added to the invoice. For international deliveries outside the UK, supplies will be zero-rated for UK VAT upon receipt of valid export documentation.

Payment Milestones, Production Deposits & Retention of Title

Unless alternative credit terms are agreed in writing under a formal framework agreement, commercial orders are subject to the following milestone schedule: (a) forty percent (40%) non-refundable production deposit upon CAD sign-off; (b) forty percent (40%) upon completion of factory manufacturing and issuance of the Factory Acceptance Inspection Certificate; and (c) twenty percent (20%) upon physical delivery and on-site commissioning sign-off.

Title to all equipment, materials, and hardware remains with Grand Casino Gear UK Ltd until the total contract invoice price has been discharged in full by the Client.

Manufacturing Lead Times & Factory Acceptance Testing

Quoted manufacturing lead times commence from the business day on which cleared deposit funds and written CAD approvals are confirmed. Standard table production batches require four (4) to six (6) weeks. The Client or its authorized technical representatives are entitled to attend Grand Casino Gear's London Docklands facility to conduct physical Factory Acceptance Testing (FAT) prior to shipment packaging.

Precision Mechanical Tolerances & Metrology Standards

All Sovereign roulette cylinders manufactured by Grand Casino Gear are engineered to aerospace standards. Rotor rim runout tolerances shall not exceed 0.02 mm; pocket divider frets shall remain within +/-0.01 mm of specified radius; and dynamic rotational balance shall exhibit zero periodic harmonics under stroboscopic laser inspection. Each cylinder is delivered accompanied by an individual metrology inspection report signed by our Chief Metrologist.

Regulatory Compliance & Independent Laboratory Testing

The Manufacturer warrants that all live gaming tables, automated card shufflers, and electronic gaming mechanisms comply with the Gambling Act 2005 and the technical standards established by the UK Gambling Commission. Products undergo independent laboratory testing and random-number generation (RNG) verification by Gaming Laboratories International (GLI) or BMM Testlabs.

Site Access, Delivery Logistics & Commissioning Protocols

Deliveries within the United Kingdom are conducted via Grand Casino Gear's climate-controlled logistics fleet. The Client is solely responsible for providing adequate, secure site access, including freight elevator reservations, door clearance measurements, and electrical hookups. On-site commissioning covers physical levelling, laser verification, and CMS network handshake testing.

Commercial Warranty Coverage & Wear-and-Tear Exclusions

Grand Casino Gear provides a five (5) year comprehensive structural warranty on all solid hardwood table frameworks and a three (3) year warranty on mechanical roulette bearing assemblies. Electronic sub-assemblies (RFID antennas, power supplies, touchscreens) are warranted for twenty-four (24) months.

Warranty coverage expressly excludes: (a) natural wear-and-tear of layout cloth, worsted wool baize, and leather armrests resulting from normal casino patron play; (b) damage caused by liquids, caustic cleaners, unauthorized modifications, or failure to maintain environmental HVAC controls; and (c) intentional physical abuse or accidental impacts during relocation.

Intellectual Property & Bespoke Design Ownership

All design rights, CAD files, mechanical patents, firmware code, and copyright in custom gaming layouts remain the exclusive property of Grand Casino Gear UK Ltd. The Client is granted a non-exclusive, perpetual, royalty-free licence to utilize the supplied hardware and layouts solely within its licensed gaming venues. The Client shall not reverse engineer, duplicate, or produce derivative reproductions of Grand Casino Gear mechanisms.

Limitation of Commercial Liability & Loss Exclusions

Except in respect of death or personal injury caused by negligence or for fraudulent misrepresentation, Grand Casino Gear's aggregate financial liability arising out of or in connection with any commercial supply contract shall be strictly capped at the total net contract price paid by the Client for the specific equipment giving rise to the claim. Under no circumstances shall Grand Casino Gear be liable for loss of gaming revenue, lost business profits, theoretical win fluctuations, or indirect consequential damages.

Force Majeure & Global Supply Chain Disruptions

Neither party shall be held in breach of contract for delay or failure in performance resulting from events beyond reasonable control, including acts of God, extreme weather, warfare, armed conflict, national strikes, government embargoes, pandemics, or catastrophic disruptions to international maritime timber shipments. If a Force Majeure event persists for more than ninety (90) consecutive days, either party may terminate the unfulfilled portion of the order without penalty.

Confidentiality & Anti-Bribery Governance

Both parties agree to treat all commercial terms, custom CAD blueprints, pit floor plans, and pricing concessions as strictly confidential business information for a minimum period of five (5) years following delivery. Both parties affirm full adherence to the UK Bribery Act 2010 and warrant that no improper financial advantages or personal inducements have been offered or solicited.

Governing Law & London Commercial Court Jurisdiction

These Commercial Terms of Service, all supply contracts, and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales, specifically the Commercial Court of the High Court of Justice in London, shall have exclusive jurisdiction to settle any dispute, controversy, or claim arising between the parties.
